Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by E&GPay, Inc. (“E&GPay”, “we”, “us”, or “our”), you (“Client”, “you”, or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our services.

2. Nature of Services

E&GPay is a marketing and consulting entity that facilitates the introduction of Clients to services offered by authorized financial institutions in Brazil. E&GPay does not itself issue, operate, or manage prepaid cards, digital accounts, or financial services. All such services are provided directly by licensed and regulated third-party partners (“Service Providers”) located in Brazil.

E&GPay acts solely as an independent commercial agent and does not operate as a bank, financial institution, money transmitter, or payment processor under United States law.

Certain prepaid cards and related materials may bear the E&GPay, Inc. brand or logo. These are issued and managed exclusively by our licensed Brazilian Service Providers, and the use of our branding does not imply that E&GPay itself provides or manages financial services.

3. Eligibility

Our services are intended exclusively for:

• Legal entities registered in Brazil with a valid CNPJ (Cadastro Nacional da Pessoa Jurídica); and

• Non-U.S. persons and entities.
  We do not offer or make available any financial services or introductions to U.S. citizens, U.S. residents, or U.S.-incorporated businesses.

E&GPay reserves the right to refuse service to any person or entity without obligation to provide justification.

4. Relationship with Financial Institutions

All prepaid card and financial account services are offered and managed exclusively by our duly authorized Brazilian Service Providers, who are responsible for:

• Customer due diligence (KYC/AML),

• Issuance and management of prepaid cards,

• Regulatory compliance with Brazilian authorities,

• Customer support related to financial operations.

E&GPay assumes no liability for the performance, availability, or terms of such services and does not hold or process any funds on behalf of Clients.

5. Disclaimers

E&GPay makes no representations or warranties regarding the availability, security, suitability, or accuracy of third-party financial services. All financial products are subject to the Service Providers’ own terms and conditions.

To the fullest extent permitted by law, E&GPay disclaims all liability for:

• Errors or delays in service delivery by Service Providers,

• Regulatory decisions affecting financial accounts/cards,

• Losses, damages, or claims arising from your use of such services.

6. Fees and Payments

E&GPay may charge fees related to account setup, documentation assistance, and ongoing consulting. These fees do not constitute payment for financial services and are clearly communicated prior to service execution.

Clients are responsible for paying any applicable fees directly to the financial institution or card issuer in Brazil, as determined by the Service Provider.

7. Prohibited Use

You may not use our services in connection with:

• Money laundering, tax evasion, or fraudulent activity,

• Transactions involving U.S. Persons,

• Any unlawful or prohibited purposes under U.S. or Brazilian law.

8. Limitation of Liability

Under no circumstances shall E&GPay be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

10. Amendments

E&GPay reserves the right to amend these Terms at any time. Continued use of our services following any updates constitutes acceptance of the revised Terms.
